GeoWGS84.ai – Terms of Service

These Terms of Service (“Terms”) govern your access to and use of GeoWGS84.ai (“GeoWGS84,” “we,” “us,” or “our”) applications, APIs, website, and related services (collectively, the “Services”). By accessing or using the Services, you agree to these Terms. If you do not agree, you may not use the Services.

You may use the Services only if you:

• You agree to provide accurate and complete information during registration and to keep it updated.
• You are responsible for maintaining the confidentiality of your login credentials.
• You must immediately notify us of any unauthorized access or breach of your account.

You agree not to:
• Use the Services for unlawful, harmful, or fraudulent purposes.
• Upload, share, or process content that violates intellectual property rights, privacy rights, or applicable laws.
• Interfere with, disrupt, or attempt to gain unauthorized access to our systems or networks.
• Reverse engineer, decompile, or attempt to derive source code from the Services.
• Misuse geospatial data outputs (e.g., using for surveillance or applications prohibited by law).

4. User Content & Data
• You retain ownership of all geospatial files, datasets, or content you upload (“User Content”).
• By uploading User Content, you grant GeoWGS84 a worldwide, non-exclusive, royalty-free license to process, analyze, and store your content solely to provide and improve the Services.
• You represent and warrant that you have the necessary rights to upload and use such content.

5. Intellectual Property
• All intellectual property in the Services (including software, AI models, APIs, trademarks, and designs) is owned by or licensed to GeoWGS84.
• Except as expressly allowed, you may not copy, distribute, or create derivative works of the Services.

6. Subscriptions, Payments & Refunds
• Certain Services may require payment (e.g., subscription plans, API usage).
• Fees are disclosed at the time of purchase and are non-refundable unless required by law.
• You authorize GeoWGS84 or its payment providers to charge your payment method for recurring fees, if applicable.
• Failure to pay may result in suspension or termination of your account.

Our Services may integrate with third-party tools (e.g., mapping APIs, payment processors). GeoWGS84 is not responsible for third-party services, and their terms apply separately.

8. Termination
• You may stop using the Services at any time.
• We may suspend or terminate your access if you violate these Terms, misuse the Services, or if required by law.
• Upon termination, your license to use the Services ends, but Sections 4, 5, 9, 10, and 11 survive termination.

9. Disclaimers
• The Services are provided “AS IS” and “AS AVAILABLE.”
• We make no warranties that the Services will be error-free, uninterrupted, or suitable for every use case.
• Geospatial outputs, analyses, or AI-driven insights are provided for informational purposes only and should not replace professional judgment.

10. Limitation of Liability
To the maximum extent permitted by law:
• GeoWGS84 shall not be liable for indirect, incidental, or consequential damages (e.g., loss of profits, data, or business).
• Our total liability for any claim relating to the Services shall not exceed the greater of (a) the amount you paid us in the past 12 months or (b) USD $100.

11. Indemnification
You agree to defend, indemnify, and hold harmless GeoWGS84, its affiliates, officers, employees, and partners from any claims, damages, or expenses arising from your:
• misuse of the Services,
• violation of these Terms, or
• infringement of third-party rights.

12. Governing Law & Dispute Resolution
• These Terms are governed by the laws of Colorado, USA
